1. INTRODUCTION

Welcome to SUKOONIC.

These Terms and Conditions (“Terms”) govern your access to and use of the SUKOONIC mobile application, website, digital platform, subscriptions, music, audio, frequency-inspired content, meditation content, AI-assisted features, recommendations and other associated products and services collectively referred to as the “Services.”

The Services are operated by SUKOONIC HEALING RESONANCES PRIVATE LIMITED (“SUKOONIC”, “Company”, “we”, “us” or “our”).

By downloading, installing, accessing, registering for, subscribing to or otherwise using the Services, you acknowledge that you have read and agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you should not use the Services.

Certain features, subscriptions, promotions or third-party services may also be subject to additional terms presented to you before use or purchase.

2. NATURE OF SUKOONIC

SUKOONIC is a general wellness, lifestyle, relaxation and entertainment-oriented digital platform.

The Services may include:

original music;
ambient audio;
meditative audio;
frequency-inspired music and sound;
relaxation content;
focus-oriented content;
sleep and rest-oriented content;
motivational content;
mindfulness experiences;
soundscapes;
playlists;
recommendations;
AI-assisted features;
wellness-oriented information; and
other digital content.

References within SUKOONIC to terms such as:

“healing”;
“frequency”;
“frequencies”;
“resonance”;
“energy”;
“balance”;
“reset”;
“wellness”;
“relaxation”;
“focus”; or
similar expressions

are used in a general wellness, creative, musical, lifestyle or descriptive context.

They must not be interpreted as a representation that SUKOONIC provides medical treatment or that any particular sound, music, frequency or digital experience has been clinically proven to diagnose, treat, cure or prevent any disease or medical condition.

The words “Healing Resonances” form part of the legal corporate name SUKOONIC HEALING RESONANCES PRIVATE LIMITED and do not constitute a medical or therapeutic guarantee.

3. ELIGIBILITY

3.1 Legal Capacity

You must have the legal capacity required under the laws applicable to you to enter into these Terms.

3.2 Users Below 18

If you are below 18 years of age, you may use SUKOONIC only with the involvement, authorization and supervision of a parent or lawful guardian where required.

Where applicable law requires parental or guardian consent before a child may create an account or provide personal information, such consent must be obtained before the relevant activity occurs.

Parents and guardians are responsible for supervising a minor's use of the Services.

3.3 Organizational Use

If you access SUKOONIC on behalf of a company, organization or other legal entity, you represent that you are authorized to act on its behalf.

3.4 Local Restrictions

You are responsible for ensuring that accessing or using SUKOONIC is lawful in your jurisdiction.

4. LIMITED LICENCE TO USE SUKOONIC

Subject to compliance with these Terms, SUKOONIC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Services for your own lawful personal use.

Unless expressly permitted by SUKOONIC in writing, this licence does not permit you to:

commercially exploit SUKOONIC content;
redistribute content;
publicly perform content;
broadcast content;
sublicense content;
sell content;
reproduce the sound library;
use recordings in films, advertisements, videos or commercial productions;
sample SUKOONIC recordings;
incorporate SUKOONIC recordings into other musical works;
train third-party AI systems using SUKOONIC content;
scrape or systematically extract SUKOONIC content; or
claim ownership over SUKOONIC material.

Content provided through SUKOONIC is licensed, not sold, to the user.

Offline or downloaded content, where offered, remains subject to these Terms and does not transfer copyright or ownership to the user.

5. ACCOUNTS

Certain Services may require creation of a SUKOONIC account.

You agree to provide reasonably accurate and current information where required.

You are responsible for:

maintaining the confidentiality of your login credentials;
controlling access to your device;
activity taking place through your account where reasonably attributable to you; and
informing SUKOONIC promptly if you reasonably believe your account has been compromised.

You must not:

impersonate another person;
create accounts using fraudulent information;
sell accounts;
unlawfully transfer accounts;
provide unauthorized persons access to paid subscriptions; or
use automated systems to create multiple abusive accounts.

SUKOONIC may implement reasonable authentication, security or account-verification measures.

6. FREE AND PAID SERVICES

SUKOONIC may offer:

free content;
free trials;
promotional access;
subscription plans;
premium content;
one-time digital purchases; or
other paid features.

Features, content libraries, subscription tiers and prices may differ between countries, platforms, devices and promotional periods.

Availability of particular content is not guaranteed indefinitely.

7. SUBSCRIPTIONS AND AUTOMATIC RENEWAL

Certain SUKOONIC Services may operate on a recurring subscription basis.

Before completing a subscription purchase, relevant information such as the applicable price, billing period and available renewal information will be displayed through SUKOONIC or the applicable payment platform.

Unless otherwise stated, recurring subscriptions may automatically renew until cancelled in accordance with the applicable subscription process.

By purchasing a recurring subscription, you authorize the applicable payment provider to charge the displayed subscription price and applicable taxes at each renewal until cancellation.

Where your subscription is purchased through:

Apple App Store;
Google Play;
another application marketplace; or
an authorized third-party payment service,

billing and renewal may also be governed by that provider's terms.

8. FREE TRIALS AND PROMOTIONAL OFFERS

SUKOONIC may offer free trials, discounted subscriptions or promotional access.

Where a free trial automatically converts into a paid subscription, this will be disclosed through the applicable purchase process.

If you do not wish to continue with a paid subscription after a trial, you must cancel before the applicable renewal or conversion deadline shown by SUKOONIC or the relevant platform.

Promotions may:

be restricted to eligible users;
apply for limited periods;
differ between users or jurisdictions;
be non-transferable; and
be withdrawn or modified where reasonably necessary.

Promotional terms presented with an offer form part of these Terms.

9. CANCELLING A SUBSCRIPTION

You may cancel a recurring subscription through the platform or payment method through which you purchased it.

For example, subscriptions purchased through Apple App Store or Google Play may generally need to be managed through the relevant Apple or Google account.

Cancellation ordinarily stops future renewals.

Unless otherwise stated by the relevant platform or required by applicable law, cancelling a subscription does not necessarily terminate access immediately. You may continue to have access until the end of the already-paid subscription period.

Deleting the SUKOONIC App does not necessarily cancel an active subscription.

Users should cancel the subscription through the appropriate account or subscription-management system.

10. PAYMENTS

Payments may be processed through authorized third-party providers.

Depending on the payment method, SUKOONIC may not directly receive or store complete:

credit-card numbers;
debit-card numbers;
CVV numbers;
UPI PINs;
banking passwords; or
similar authentication credentials.

You are responsible for maintaining a valid payment method where required for recurring subscriptions.

Prices may include or exclude taxes depending on applicable law and how the relevant marketplace displays charges.

11. REFUNDS

Refund rights depend upon:

applicable law;
the nature of the purchase;
the payment provider;
the app marketplace through which the purchase was made; and
the particular circumstances of the transaction.

Where Apple, Google or another third-party platform processed the purchase, refund requests may need to be submitted directly to that platform and may be governed by its refund process.

Except where required by applicable law, platform rules or an express SUKOONIC offer, fees for completed or partially used subscription periods may not be refundable merely because the user no longer wishes to use the Services.

Nothing in these Terms removes any refund, cancellation or consumer right that cannot legally be excluded.

If a paid Service is materially defective, materially different from what was represented, or unavailable in circumstances in which applicable law requires a refund or other remedy, SUKOONIC will address the matter in accordance with applicable law and the relevant payment-provider process.

12. CHANGES TO PRICING

SUKOONIC may change subscription prices from time to time.

Where required, price changes will be communicated before they become applicable.

A price change will generally apply to a future subscription or renewal rather than retrospectively changing a completed purchase.

Where applicable platform rules or law require additional approval for a price change, those requirements will be followed.

13. USER RESPONSIBILITIES

You agree to use SUKOONIC responsibly.

You are responsible for:

choosing content suitable for you;
choosing an appropriate listening volume;
choosing a safe listening environment;
complying with applicable laws;
protecting your account credentials;
exercising personal judgment regarding wellness-related content; and
seeking qualified professional assistance where appropriate.

SUKOONIC should complement general wellness activities and must not replace professional healthcare where healthcare is required.

14. PROHIBITED CONDUCT

You must not use SUKOONIC to:

violate applicable law;
infringe intellectual-property rights;
circumvent subscription restrictions;
circumvent technical security measures;
obtain unauthorized access to systems, servers or accounts;
introduce malware, viruses or harmful code;
interfere with the operation of the Services;
engage in fraudulent activity;
impersonate another person or entity;
harass, threaten or unlawfully target another person;
use automated bots or scraping tools without authorization;
conduct unauthorized data extraction;
reverse-engineer, decompile or disassemble software except where such restriction is prohibited by applicable law;
copy or redistribute proprietary audio;
unlawfully record protected content;
sample SUKOONIC music or sound recordings without permission;
publicly perform or commercially exploit SUKOONIC content without an appropriate licence;
remove copyright, trademark or proprietary notices;
resell subscription access;
share paid accounts commercially;
use SUKOONIC content to build a competing sound, wellness, music or frequency library;
train or develop machine-learning or artificial-intelligence models using SUKOONIC proprietary content without written authorization; or
use the Services in any manner reasonably likely to damage SUKOONIC, its infrastructure or other users.

Violation may result in restriction, suspension or termination.

15. GENERAL WELLNESS DISCLAIMER

SUKOONIC provides content intended for general wellness, relaxation, mindfulness, rest, focus, motivation, lifestyle and entertainment purposes.

SUKOONIC is not:

a hospital;
a clinic;
a medical practitioner;
a psychologist;
a psychiatrist;
a therapist;
an emergency service;
a diagnostic service;
a medical-device provider; or
a substitute for professional healthcare.

SUKOONIC does not diagnose, prescribe treatment for, treat, cure or prevent disease.

No statement within the App should be interpreted as a medical diagnosis or medical instruction.

16. FREQUENCY AND SOUND DISCLAIMER

SUKOONIC may organize or describe music and audio by reference to particular frequencies, frequency-inspired concepts, resonance terminology, moods, wellness themes or listening intentions.

Such descriptions are provided for general wellness, musical, organizational, experiential or creative purposes.

Unless expressly stated and supported by appropriate evidence, SUKOONIC does not represent that listening to any particular sound frequency:

treats a disease;
cures a disease;
changes a medical condition;
replaces medication;
produces a clinically guaranteed physiological result;
permanently alters mental health;
guarantees emotional healing; or
produces the same experience for every person.

Individual listening experiences vary significantly.

17. MEDICAL AND PROFESSIONAL-ADVICE DISCLAIMER

Nothing within SUKOONIC constitutes medical, psychiatric, psychological or other regulated professional advice.

You should not use SUKOONIC content as a basis to:

diagnose yourself or another person;
discontinue medication;
increase or decrease medication;
delay medical treatment;
replace professional therapy;
disregard professional advice; or
make decisions requiring qualified clinical judgment.

If you have a medical, psychological, psychiatric, hearing-related or other health concern, consult an appropriately qualified professional.

SUKOONIC does not guarantee any specific health, sleep, emotional, cognitive or wellness outcome.

18. MEDICAL EMERGENCIES

SUKOONIC is not an emergency-response service.

Do not use SUKOONIC as your sole source of assistance during an emergency.

If you believe you or another individual is experiencing a medical, psychological or other emergency, contact the appropriate local emergency service, healthcare provider or other qualified professional.

19. SAFE LISTENING

Users are responsible for maintaining safe listening practices.

Do not listen at an unsafe volume or for periods that may cause discomfort or hearing damage.

You should immediately stop or reduce listening if you experience significant discomfort.

Do not use SUKOONIC audio where reduced awareness of your surroundings could create a safety risk.

In particular, unless a specific feature is expressly designed for such use, do not use immersive, sleep, meditation or deep-relaxation content:

while driving;
while operating machinery;
while cycling in traffic;
during hazardous activities; or
whenever full attention to the surrounding environment is necessary.

20. SPECIAL HEALTH CIRCUMSTANCES

Individuals who have concerns regarding:

hearing sensitivity;
tinnitus;
neurological conditions;
sound-triggered conditions;
pregnancy;
significant psychiatric conditions; or
other medical circumstances potentially affected by audio, meditation or relaxation practices

should obtain appropriate professional guidance where reasonably necessary.

This does not mean that SUKOONIC represents that its content causes or treats any such condition.

21. AI-ASSISTED FEATURES

SUKOONIC may use artificial intelligence, automated systems or algorithms for functions including:

recommendations;
search;
content discovery;
personalization;
categorization;
conversational assistance;
content organization; and
other digital features.

AI-generated or algorithmically generated outputs may occasionally be:

inaccurate;
incomplete;
outdated;
unsuitable;
unexpected; or
contextually incorrect.

Users must apply their own judgment.

AI-generated responses do not constitute medical, psychiatric, psychological, legal, financial or other regulated professional advice.

SUKOONIC does not guarantee the accuracy or effectiveness of any AI-generated recommendation.

22. CHILDREN AND FAMILY CONTENT

SUKOONIC may contain music, sleep, relaxation, family or other content that parents or guardians may choose for children.

The presence of child-friendly content does not mean a child is permitted to independently create an account, enter personal information or purchase a subscription where applicable law requires parental involvement.

Parents and guardians remain responsible for:

selecting age-appropriate content;
supervising use;
selecting appropriate listening duration;
controlling volume;
managing subscriptions; and
exercising parental judgment.

23. INTELLECTUAL PROPERTY

The SUKOONIC Services and all associated intellectual property are protected by applicable intellectual-property laws.

This may include:

musical compositions;
sound recordings;
frequency-inspired audio;
soundscapes;
meditations;
original audio experiences;
lyrics where applicable;
text;
artwork;
graphic designs;
photographs;
videos;
animations;
trademarks;
logos;
product names;
branding;
user-interface elements;
source code;
object code;
databases;
software architecture;
algorithms;
recommendation systems; and
proprietary technology.

Such rights are owned by, licensed to, lawfully commissioned for or otherwise lawfully used by SUKOONIC HEALING RESONANCES PRIVATE LIMITED and/or the applicable rights holder.

Use of SUKOONIC does not transfer ownership of these rights to you.

24. MUSIC AND AUDIO COPYRIGHT

SUKOONIC audio and musical content may be protected separately as:

musical works;
sound recordings;
literary works;
artistic works; and/or
other copyright-protected material.

Unless separately licensed in writing, a standard SUKOONIC subscription does not authorize:

commercial synchronization;
public performance;
broadcasting;
sampling;
remixing;
redistribution;
incorporation into another recording;
use in advertisements;
use in films;
use in television programming;
commercial social-media use;
commercial podcast use; or
resale.

25. TRADEMARKS AND BRANDING

“SUKOONIC,” associated logos, designs, product names, artwork and other brand identifiers may constitute trademarks or proprietary branding of the Company or its licensors.

No licence to use SUKOONIC branding is granted except as expressly authorized in writing.

26. USER FEEDBACK

If you voluntarily submit suggestions, ideas, recommendations or general feedback regarding SUKOONIC, you acknowledge that SUKOONIC may consider and use such feedback for developing or improving its Services without creating an obligation to compensate you, unless separately agreed in writing.

This provision does not transfer ownership of your personal information and remains subject to the Privacy Policy.

27. THIRD-PARTY SERVICES

SUKOONIC may integrate with or contain links to third-party products and services including:

Apple;
Google;
payment processors;
authentication providers;
analytics providers;
cloud infrastructure providers;
social platforms; and
external websites.

Third-party services are governed by their own terms and policies.

SUKOONIC does not control unrelated third-party services and is not responsible for their independent acts or omissions except to the extent responsibility cannot legally be excluded.

28. SERVICE AVAILABILITY

SUKOONIC seeks to provide reliable access but does not guarantee that the Services will always be:

uninterrupted;
error-free;
available in every country;
compatible with every device;
free from temporary outages; or
unchanged indefinitely.

Services may occasionally be unavailable because of:

maintenance;
software updates;
infrastructure failure;
third-party outages;
cybersecurity incidents;
network problems;
legal requirements; or
circumstances outside our reasonable control.

29. CONTENT CHANGES

SUKOONIC may add, remove, replace, rename, reorganize or update content from time to time.

A subscription provides access to the subscription service or tier offered at the relevant time and does not guarantee permanent availability of every individual song, album, soundscape, playlist, frequency category or feature.

Material reductions affecting paid-user rights will be handled in accordance with applicable law and relevant platform requirements.

30. APP AND SOFTWARE UPDATES

SUKOONIC may release updates to:

improve functionality;
add features;
remove obsolete features;
improve security;
correct errors;
comply with law; or
maintain compatibility.

Some updates may be necessary for continued use of the Services.

31. SUSPENSION AND TERMINATION

SUKOONIC may restrict, suspend or terminate access where reasonably necessary because of:

material violation of these Terms;
suspected fraud;
unauthorized commercial use;
intellectual-property infringement;
cybersecurity threats;
abusive activity;
payment fraud;
legal requirements; or
conduct materially harmful to SUKOONIC or other users.

Where reasonable and legally required, notice or an opportunity to address the issue may be provided.

Immediate action may be taken where necessary to protect users, systems, rights holders or legal interests.

32. EFFECT OF TERMINATION

When an account is terminated:

the user's licence to use the applicable Services may end;
access to premium content may cease as applicable;
outstanding legal obligations may survive; and
provisions intended by their nature to survive termination will continue.

These may include provisions concerning:

intellectual property;
payment obligations;
disclaimers;
liability;
dispute resolution; and
governing law.

Termination does not eliminate statutory consumer rights.

33. USER ACCOUNT DELETION

Users may request or initiate account deletion where such functionality is available.

Account deletion and subscription cancellation are separate actions.

Deleting an account or uninstalling the App may not automatically cancel a subscription managed by Apple, Google or another external platform.

Users should separately cancel recurring subscriptions through the relevant subscription provider.

Personal information following account deletion will be handled in accordance with SUKOONIC's Privacy Policy and applicable law.

34. PRIVACY

Personal information is handled in accordance with SUKOONIC's Privacy Policy & Wellness Disclaimer, which forms part of the legal framework governing use of the Services.

The Privacy Policy explains matters including:

information collection;
processing purposes;
cookies and analytics;
third-party service providers;
security;
retention;
user privacy rights; and
contact mechanisms.

Use of personal information will also be subject to applicable privacy laws as and when those requirements apply to SUKOONIC.

35. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.

SUKOONIC does not promise that:

every feature will operate continuously;
every error will be corrected immediately;
every recommendation will be accurate;
every AI output will be correct;
every sound will produce a particular result;
the Services will satisfy every individual's expectations; or
the Services will be compatible with every device or operating-system version.

Nothing in this section excludes warranties, guarantees or statutory protections that cannot legally be excluded.

36. NO GUARANTEE OF WELLNESS RESULTS

SUKOONIC does not guarantee that use of its content will result in:

improved sleep;
reduced stress;
increased focus;
improved motivation;
emotional improvement;
relationship improvement;
financial improvement;
increased productivity;
altered brain activity;
physical healing;
psychological healing;
spiritual outcomes; or
any other specific result.

Individual experiences may differ.

Testimonials, reviews or user experiences, if displayed, represent individual experiences and do not constitute guaranteed results.

37. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, SUKOONIC HEALING RESONANCES PRIVATE LIMITED and its directors, officers, employees, contractors and authorized affiliates shall not be liable for indirect, incidental, special or consequential loss resulting solely from circumstances for which liability may lawfully be limited.

This may include, where permitted by law:

loss caused by temporary Service interruption;
loss resulting from unauthorized activity outside the Company's reasonable control;
loss resulting from reliance on non-professional wellness or AI-generated content; or
loss resulting from misuse of the Services contrary to these Terms.

However, nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.

Nothing in these Terms is intended to exclude:

mandatory consumer rights;
liability for fraud;
liability resulting from wilful misconduct where it cannot be excluded;
statutory remedies; or
any other liability that applicable law prohibits SUKOONIC from excluding.

38. USER RESPONSIBILITY

Users remain responsible for decisions made based on general wellness content.

You acknowledge that:

wellness experiences are subjective;
SUKOONIC does not know every user's personal circumstances;
automated recommendations may not be suitable for everyone; and
professional advice should be obtained where circumstances require professional judgment.

39. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify SUKOONIC against reasonable losses, liabilities or claims arising directly from your:

unlawful use of the Services;
deliberate infringement of third-party intellectual-property rights;
unauthorized commercial exploitation of SUKOONIC content;
fraudulent activity;
material breach of these Terms; or
malicious interference with SUKOONIC systems.

This clause does not require a consumer to indemnify SUKOONIC for matters caused solely by SUKOONIC's own unlawful conduct and does not remove statutory rights.

40. FORCE MAJEURE

SUKOONIC will not be responsible for failure or delay caused by events beyond its reasonable control, subject to applicable law.

Such events may include:

natural disasters;
major internet failures;
telecommunications outages;
war;
civil disturbance;
governmental restrictions;
changes in law;
labour disruption;
cybersecurity events;
cloud-provider outages;
app-store outages; or
other comparable circumstances.

41. INTERNATIONAL USERS

SUKOONIC may be accessible from multiple countries.

Availability of the Services in a country does not constitute a representation that every feature is regulated or permitted identically in every jurisdiction.

International users are responsible for complying with laws applicable to their use of the Services.

Where mandatory local consumer or privacy rights apply, nothing in these Terms is intended to remove those rights.

SUKOONIC may restrict particular features or availability in jurisdictions where legally or commercially necessary.

42. CHANGES TO THESE TERMS

SUKOONIC may update these Terms where reasonably necessary, including because of:

legal changes;
regulatory requirements;
new features;
product changes;
security requirements;
subscription changes; or
business developments.

The current version will display an updated “Last Updated” date.

Material changes may be communicated through the App, website, email or another appropriate method where required.

If applicable law requires express consent to a material amendment, SUKOONIC will seek such consent rather than relying solely on continued use.

43. GOVERNING LAW

These Terms are governed by the laws of India, subject to mandatory rights available under applicable consumer or other laws.

44. DISPUTE RESOLUTION AND JURISDICTION

Users are encouraged to first contact SUKOONIC so that concerns can be reviewed and an attempt can be made to resolve them efficiently.

Subject to mandatory statutory jurisdiction and consumer rights, courts of competent jurisdiction at Mumbai, Maharashtra, India shall have jurisdiction over disputes arising from these Terms.

Nothing in these Terms prevents a consumer from exercising a right to approach a consumer commission, regulatory authority, statutory body or other forum where such right is available under applicable law.

45. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent reasonably necessary, where legally permitted.

The remaining provisions will continue in effect.

46. NO WAIVER

Failure by SUKOONIC to immediately enforce any provision of these Terms does not necessarily constitute a permanent waiver of that provision or any other right.

47. ASSIGNMENT

Users may not transfer their rights or obligations under these Terms without authorization where such transfer would materially affect the Services.

SUKOONIC may transfer or assign its rights and obligations as part of a legitimate:

corporate restructuring;
merger;
acquisition;
financing;
investment;
sale of business; or
transfer of relevant assets,

subject to applicable law and protection of mandatory user rights.

48. ENTIRE AGREEMENT

These Terms, together with the SUKOONIC Privacy Policy and any additional terms expressly presented for a particular Service, constitute the applicable agreement between the user and SUKOONIC concerning use of the Services.

They supersede previous SUKOONIC Terms and Conditions concerning the same subject matter from their effective date.

50. PUBLIC WELLNESS DISCLAIMER

SUKOONIC is a general wellness, music, relaxation and lifestyle platform.
